Our attorneys have extensive experience assisting housing cooperatives—from the formation and operation of new housing cooperatives to the rehabilitation and maintenance of existing housing cooperatives. The firm advises housing cooperatives on forming the appropriate corporate entity, acquiring real property, financing, drafting governing documents, member relations, property management, and maintaining proper corporate governance (e.g., noticing and structure of board and member meetings, elections, annual reporting, etc.). As state laws evolve, we advise cooperatives on how to comply with new legal requirements. We also represent cooperatives in corporate litigation.
Our attorneys work closely with cooperative boards of directors, staff, and technical service providers. However, for a cooperative to thrive, the shareholders or members must be engaged and informed about the workings of the cooperative and their role. Thus, our attorneys also work with cooperatives to inform members of their rights and duties as cooperative shareholders.
